Distributor Cooperation Agreement

To use the earnfunvip software and service (collectively referred to as “earnfunvip” or “the Service”), you must carefully read and comply with the Distributor Cooperation Agreement (hereinafter referred to as “this Agreement”). Before registering as a user of the Service, please read the terms carefully and fully understand each provision, particularly those regarding exemption or limitation of liability, dispute resolution, and applicable law.
By filling in the information as prompted on the registration page, reading and agreeing to this Agreement, and completing all registration steps; or by filling in the information as prompted on the service activation page, reading and agreeing to this Agreement, and completing all activation steps; or by actually using the Service in any manner permitted by earnfunvip, you shall be deemed to have fully read, understood, and accepted all the terms of this Agreement, and this Agreement shall become legally binding on you. You undertake to accept and comply with the provisions of this Agreement. Thereafter, you shall not claim that this Agreement is invalid or request its revocation on the grounds that you have not read the terms of this Agreement or have not received answers from earnfunvip to your inquiries.
This Agreement consists of its main body and all privacy policies, other policies, rules, statements, notices, warnings, prompts, and explanations (collectively referred to as the “Rules”) that have been or may be published by earnfunvip. The aforementioned Rules constitute an integral part of this Agreement and shall have the same legal effect as the main body hereof.
We are constantly updating, revising, and improving the Service. We may add or remove features or functionalities of the Service, impose new restrictions, or temporarily suspend or permanently cease providing a particular service. earnfunvip has the right to modify or supplement this Agreement and related Rules as necessary. Once the revised Agreement and Rules are published (through the earnfunvip website (www.earnfunvip.com) or other forms of the Service), they shall immediately supersede the original Agreement and Rules and take effect automatically. If you do not agree to the relevant changes, you must immediately stop using earnfunvip. If you continue to use the Service, you will be deemed to have accepted the revised Agreement and related Rules. If a revision to the Service or this Agreement would materially affect users or severely restrict access to or use of the Service, we will notify you within a reasonable period before the change takes effect. For revisions to the Service to comply with security, legal, or regulatory requirements, we may not be able to meet the aforementioned advance notice requirement, but we will notify you as soon as possible. Additionally, if a change to this Agreement or the Service does not materially affect our users or severely restrict access to or use of the Service, we may not notify you in advance.
earnfunvip may provide various forms of service software (subject to the specific form provided by earnfunvip). earnfunvip will continue to expand the terminal devices and usage forms for the Service. If you have registered for and used one form of the Service, you may use other versions of the Service with the same account, and this Agreement will automatically apply to your use of all versions of the software and service.
If you register for or use the Service on behalf of an organization, company, store, or other entity, you confirm that you have obtained full authorization from that entity and shall ensure that information submitted and all conduct under your account comply with that entity’s authorization and applicable legal requirements. Any liability arising from your lack of authority to represent that entity or from your exceeding such authorization in using the Service shall be borne solely by you.
1. Service Description
You understand and agree that earnfunvip primarily provides services including distributor registration, information submission, store display, cooperation application, application processing, review records, cooperation status notifications, and related technical support. Whether a merchant accepts your application, establishes a cooperative relationship with you, and the specific cooperation terms, pricing policies, rebate policies, commission settlements, product sales, after-sales service, and performance arrangements shall be determined by you and the relevant merchant in accordance with the merchant's rules or as otherwise agreed upon by both parties. Except where earnfunvip has explicitly undertaken otherwise in writing, earnfunvip shall not be a party to the specific distribution cooperation, product transactions, or commission or rebate settlement arrangements between you and any merchant.
Through earnfunvip, you may browse information on merchant stores available for cooperation application and submit a distribution cooperation application to a specific merchant as prompted on the page. Merchants have the right to decide whether to approve an application based on their business needs, review criteria, and the information you submit. If the application is not approved, earnfunvip may update the application status based on the merchant’s review results and notify you accordingly. If the application is approved, the distribution cooperation relationship between you and the merchant shall be governed by the merchant’s rules, page display rules, and/or cooperation terms otherwise confirmed by both parties.
The scope of cooperation under this Agreement is limited to your application through earnfunvip to become a distributor of a relevant merchant and, upon the merchant’s approval, to carry out product or store promotions in accordance with the merchant’s rules, page display rules, or cooperation terms otherwise confirmed by both parties. You understand and agree that you, earnfunvip, and the merchants are independent entities. This Agreement and your use of the Service do not establish any employment, labor, service, agency, dealership, partnership, franchise, or other similar relationships between you and earnfunvip or between you and any merchant. Unless otherwise agreed in writing or expressly authorized, you shall not make any statements, promises, guarantees, quotations, collections, or other legal acts in the name of earnfunvip, any merchant, or any brand owner, nor shall you cause any third party to mistakenly believe that you have the authority to act on behalf of earnfunvip, any merchant, or any brand owner.
2. Account Terms
earnfunvip’s services are only provided to adult users with full capacity for civil conduct. When registering for, accessing, or using the Service, you confirm that you have reached the age of majority as defined by the laws of your jurisdiction and possess the legal capacity to enter into and perform this Agreement.
To access and use the Service properly, you warrant that the registration information, distribution channel information, social media account details, follower count, website URL, offline store information, estimated annual sales, and other application materials you submit are true, accurate, complete, and lawful, and that you have the legal right to use or operate the relevant accounts, channels, stores, or websites. If such information changes, you shall update it promptly. You shall bear sole liability for any misjudgment by merchants, cooperation failures, complaints, claims, or other losses arising from your provision of false, inaccurate, incomplete, or unauthorized information. earnfunvip has the right to restrict, suspend, or terminate your account and any related applications.
Any user logging in to, registering with, or using earnfunvip shall warrant the lawful use of all information displayed on this platform, including information posted by us and other users. Any use beyond the scope authorized by this platform shall secure prior consent from the original rights holder; failure to do so shall be deemed an infringement.
To ensure the security of the relevant account, you shall not transfer, sell, rent, lend, or share your account with others without earnfunvip’s prior written consent. Where any such conduct actually or potentially infringes upon the legitimate rights and interests of earnfunvip or any third party, you shall bear the relevant indemnification liability, and we shall have the right to restrict, freeze, or cancel your account without prior notice, as well as to suspend or terminate part or all services hereunder, without assuming any liability for doing so. You acknowledge and agree that any disputes between you and any sub-account user, or among sub-account users shall be settled solely by you and/or the relevant parties at your/their own liability, and such disputes shall have no bearing on earnfunvip. earnfunvip will not intervene in the resolution of such disputes, nor will it assume any liability to you or any relevant party.
You may use the Service solely for your own internal operational purposes. You shall not use the Service for any illegal or unauthorized purpose, including but not limited to providing the Service or any part thereof to any third party by any means, whether for profit or not, or using the Service to engage in any illegal activity or any activity that infringes upon third-party intellectual property rights or other legitimate rights and interests. In using the Service, you shall comply with all applicable laws and regulations, as well as the provisions of this Agreement and the business rules. You shall not engage in any conduct that violates any law, this Agreement, or the legitimate rights and interests of any third party. You shall bear corresponding legal liability for all conduct under your account.
You fully understand and agree that you are legally liable for the security of your registered account and all acts and events conducted via your account (including but not limited to online signing of any agreement, uploading, posting, or inputting any content). Any conduct occurring through your account shall be deemed the genuine manifestation of your intention. You shall properly and correctly keep, use, and maintain your account and password, and take necessary and effective confidentiality measures therefor. We shall not be held liable for any loss or damage resulting from the leakage, loss of your account, password or other valid identification information, or the theft or tampering of your account and password due to your personal reasons. You shall make your own judgment regarding the content in the Service and bear all risks arising from your use of such content, including the risk of relying on the correctness, completeness, or usefulness of such content. Any content you generate during your use of the Service or through the Service does not reflect or represent, and shall not be deemed to reflect or represent, our views, positions, or policies. earnfunvip assumes no liability in this regard. Furthermore, the content provided by the Service is for your reference only and does not constitute any advice or commitment. We assume no liability to you or any third party for any damages or obligations arising from your use of the Service.
3. Pricing, Rebate, and Settlement Policy
Except as otherwise provided in the page display rules, merchant rules, or agreed upon by the parties, the registration and submission of a cooperation application by a distributor itself shall not be subject to any platform service fees charged to the distributor. The pricing, rebates, commissions, settlements, deductions, refunds, or other financial arrangements between you and the merchant shall be governed by the cooperation policies, order rules, or settlement rules published by the merchant or otherwise confirmed by the parties. earnfunvip shall not be liable for any pricing, rebate, commission, or sales performance commitments made by the merchant to you, except otherwise explicitly committed by earnfunvip in writing.
You shall carry out distribution cooperation in accordance with the pricing, discounts, rebates, commissions, and settlement policies displayed on the merchant's page, otherwise notified by the merchant, or confirmed by the parties. Without the merchant's prior consent, you shall not arbitrarily alter product prices, fabricate discounts, promise additional rebates, exaggerate earnings, or otherwise mislead consumers, merchants, or the platform. Any complaints, claims, penalties, or losses arising from your violation of the pricing, rebate, or settlement rules shall be borne solely by you. If such violation causes losses to the merchant or earnfunvip, you shall compensate them accordingly.
4. Rules Governing User Content, Promotional Activities and Legality
You shall ensure that any content uploaded, stored or accessed by you in the course of using the Service is lawful, complies with applicable laws and regulations, public order and good morals, and does not infringe upon any third party’s intellectual property rights or other lawful rights and interests. Any intellectual property disputes and other controversies arising out of the contents uploaded, stored or accessed by you shall be settled solely between you and the concerned parties, with you bearing full liability therefor; such disputes shall be unrelated to earnfunvip. You agree to fully indemnify earnfunvip against all losses incurred by earnfunvip as a result thereof. If the platform receives any complaint or objection regarding the legality or ownership of any content, it shall have the right to delete the relevant content without prior notice to the user.
When using the Service, you shall not engage in any of the following acts, including but not limited to: (1) posting, transmitting, disseminating, or storing any content that violates national laws, endangers national security and unification, undermines social stability, public order and good morals, or social ethics, or that is defamatory, libelous, obscene, or violent; (2) posting, transmitting, disseminating, or storing any content that infringes upon the reputation, portrait rights, intellectual property rights, trade secrets, or other legitimate rights of others; (3) fabricating facts or concealing the truth to mislead or deceive others; (4) posting, transmitting, or disseminating advertising information or spam; (5) engaging in other activities that violate applicable laws, regulations, policies, public order and good morals, social ethics, or that constitute illegal or other improper conduct.
When carrying out promotional activities through social media platforms, websites, offline stores, or other channels, you shall comply with applicable laws and regulations, platform rules, and advertising and consumer protection rules. You shall not publish false, exaggerated, or misleading promotions; impersonate merchants, brand owners, the platform, or consumers; engage in fake transactions, induce fraudulent reviews, send spam, or infringe upon others' intellectual property rights, portrait rights, privacy rights, or other legitimate rights and interests. You shall be solely liable for any complaints, penalties, claims, or disputes arising from your promotional content, promotional methods, or sales conduct. If such conduct causes losses to the merchant or earnfunvip, you shall compensate them accordingly.
Without the express consent of earnfunvip or the relevant merchant, you shall not use any merchant information, store information, cooperation opportunities, or other materials obtained through the Service for purposes unrelated to your cooperation application, including but not limited to business solicitation, data scraping, bulk contacting, harassing marketing, reselling cooperation opportunities, circumventing platform rules, or other improper conduct.
You understand and agree that the Service provided to you by earnfunvip is non-transferable, revocable, and non-exclusive. Except as otherwise agreed in writing or permitted in writing by earnfunvip, you may use the Service and related information only within the scope authorized by earnfunvip, the relevant merchants, and the applicable page rules. You shall not use the Service, merchant store information, product information, cooperation opportunities, or related data for unauthorized resale, sublicensing, crawling, bulk copying, commercial database building, illegal marketing, or any other purpose unrelated to distribution cooperation. You shall not enable others to access the Service on your behalf, nor shall you use the data or service information provided by earnfunvip to engage in any conduct that violates any laws, regulations, or other regulatory policies. Unless otherwise permitted in writing by earnfunvip, you shall not engage in any of the following acts: (1) Posting, through the Service, any information containing advertisements, promotions, solicitations, or other content that does not comply with applicable laws and regulations, or using the Service for any illegal purpose or to transmit any illegal, defamatory, harassing, privacy-invading, abusive, threatening, harmful, vulgar, pornographic, obscene, or otherwise objectionable information, or information that offends religious feelings, promotes racism, contains viruses or malicious code, or infringes upon the intellectual property rights or other rights of others; (2) Sub-licensing the Service to any other person; (3) Processing third-party personal information or related data in violation of applicable laws or regulations; (4) Infringing, in any form, upon any person's patents, trademarks, trade secrets, copyrights, or other proprietary rights through earnfunvip; (5) Performing any operation or using any device, plug-in, cheat program, third-party tool, or the like to interfere with or attempt to interfere with the normal operation of earnfunvip, the integrity or accuracy of its products or services, or any activity conducted on earnfunvip; (6) Engaging in non-human, continuous, or frequent query operations, or unreasonably or bulk obtaining earnfunvip's information, content, or data through machine scraping, copying, mirroring, or similar means. In the event of such conduct, we shall have the right to disable your account without any liability to you. If multiple accounts under the same IP address repeatedly engage in the foregoing conduct, we shall have the right to automatically block such IP address without any liability to you; (7) Providing false personal information, or providing information that is inconsistent with the information provided at the time of registration without providing reasonable proof; (8) Situations where we determine that providing the Service to you poses a material risk; (9) Any other conduct not permitted in writing by earnfunvip.
earnfunvip does not pre-screen the Content. If any third party raises an objection to any of your Content, or earnfunvip reasonably determines that any of your Content is suspected of being unlawful, in breach of this Agreement, infringing third-party rights and interests, improper, or likely to impair the lawful rights of other users or third parties, earnfunvip reserves the right (but not the obligation) in its sole discretion to reject or remove such Content without any liability whatsoever. You shall fully indemnify earnfunvip against all costs and losses incurred by earnfunvip arising from any claims, demands, requests or legal proceedings instituted by third parties against earnfunvip on the grounds that your Content is illegal, violates this Agreement, infringes third-party rights (including intellectual property rights), or for any other reasons attributable to you.
You acknowledge and agree that subject to applicable laws and regulations, earnfunvip may take necessary measures to ensure your compliance with this Agreement and applicable laws, as well as orders or requirements issued by courts, decrees, administrative authorities or other governmental bodies, for the purpose of operating and improving the Service, including without limitation fraud prevention, risk assessment, investigation and customer support. earnfunvip shall have the right, but no obligation, to delete Content and corresponding accounts that earnfunvip deems to contain unlawful, offensive, threatening, abusive, defamatory, obscene, pornographic or otherwise objectionable material, or any Content and accounts that violate applicable laws or this Agreement, cause harm or damage to any earnfunvip user, staff member or third party, or are otherwise reasonably deemed by earnfunvip to produce adverse consequences. You shall not disseminate any worms, computer viruses or any other destructive code.
Prior to using Content made available via the Service by other users or third-party content providers, you must obtain prior permission or consent of the content provider. Any liabilities and third-party losses arising from your failure to comply with the above usage rules shall be borne by you alone, and such liabilities shall have no bearing on earnfunvip. Furthermore, you shall indemnify earnfunvip for all losses to earnfunvip sustained thereby.
5. Intellectual Property Rights and Use of Brand Materials
The Service, including its visual design, application, source code, trademarks, logo, interface design, application programming interfaces (APIs), and related copyrights, as well as any copyrights and other intellectual property rights relating to the services provided by earnfunvip, are all owned by earnfunvip. Any rights not expressly mentioned in this Agreement are also reserved by earnfunvip. Without earnfunvip's prior written permission, you may not copy, reproduce, imitate, or use any part of the foregoing intellectual property rights, nor may you copy, reproduce, or use any part of the HTML/CSS, JavaScript, or visual design elements and concepts of the Service. Without earnfunvip's prior written consent, you shall not implement, exploit, assign or license any third party to implement any of the aforesaid intellectual property rights or any part thereof for any purpose.
The intellectual property rights or related rights and interests in merchant stores, products, brands, trademarks, images, videos, text, and other materials belong to the relevant merchants, brand owners, or other rights holders. Except as expressly authorized under this Agreement, page rules, or by the relevant merchants, you may not use the foregoing without authorization. You may use the trademarks, brand names, product images, videos, texts, links, promotional materials, and other materials provided by merchants or earnfunvip solely for the purpose of promoting the relevant merchant's store or products, and only to the extent authorized by the relevant merchant. Without authorization, you may not modify, distort, split, sublicense, sell, or use such materials in connection with unrelated products or services, nor use them in any manner that may harm the rights or interests of merchants, brand owners, earnfunvip, or any third party. Upon termination of the distribution cooperation, you shall cease using the relevant brand materials and promotional content, unless otherwise required by law or authorized by the relevant merchant.
6. Privacy Provisions
We will process your personal information and related data submitted or generated during your registration, application, and use of the Service in accordance with the Privacy Policy. Please carefully read and confirm your agreement to the Privacy Policy before registering for and using the Service.
You understand and agree that when you submit a distribution cooperation application to a specific merchant, earnfunvip may display to such merchant your basic application information, including country/region, distribution channel, product category, distribution method, follower size, estimated annual sales volume, etc., for the merchant's review purposes. If your application is approved by the merchant, for the purposes of establishing, managing, and performing the distribution cooperation relationship between you and such merchant, earnfunvip will automatically provide to such merchant the relevant information that you have completed or submitted during registration, application, or account setup, including your name, email address, phone number, social media platform(s) and account number(s), website URL(s), offline store name(s), offline store address(es), and other information necessary for the distribution cooperation. The relevant merchant will use the above information for purposes including, but not limited to, distributor review, cooperation communication, business management, order and commission/rebate settlement, compliance management, and dispute resolution. By submitting a distribution cooperation application, you acknowledge and agree to the foregoing information sharing arrangement.
If, in the course of using the Service or engaging in distribution cooperation, you collect or use the personal information of any third party, or provide such information to merchants or earnfunvip, you shall ensure that you have obtained the corresponding authorizations, consents, or other lawful bases in accordance with applicable laws, and that you have fulfilled any necessary notification obligations. Any personal information, business information, or other non-public information of merchants, other users, or third parties that you access while using the Service shall be used only as reasonably necessary for the purpose of the distribution cooperation. You shall not collect, copy, store, disclose, sell, transfer, or use such information for unauthorized marketing, harassment, profiling, scraping, or any other purpose. Any liability arising from any violation of the foregoing shall be borne solely by you.
7. Limited Warranty and Service Disclaimer
earnfunvip provides platform technical services on an “as is” basis and does not guarantee that you will pass any merchant’s review, obtain any cooperation opportunity, or achieve any specific sales volume, commission, rebate, or other commercial result. Merchant store information, product information, cooperation terms, pricing, rebates, commissions, and settlement arrangements are provided or confirmed by the relevant merchants. You shall exercise your own judgment and confirm the specific cooperation terms with the relevant merchants. Any dispute arising between you and a merchant concerning cooperation qualifications, review results, product promotion, orders, pricing, commissions, rebates, settlements, after-sales service, use of materials, or other distribution cooperation matters shall be resolved by you and the merchant in accordance with the terms agreed between you, the merchant's rules, and applicable laws. earnfunvip may provide necessary assistance based on platform rules, page records, and reasonable requests, but shall not assume any liability for the specific cooperation results, transaction performance, or economic disputes between you and any merchant, nor become a party to any such dispute.
earnfunvip may display information regarding merchant stores and cooperation opportunities, but such information may be provided or maintained by the merchants themselves. earnfunvip makes no guarantee regarding a merchant's business qualifications, performance capability, product merchantability, sales performance, cooperation returns, or continued cooperation opportunities. You shall exercise your own judgment as to whether to apply for or continue cooperation with relevant merchant.
Certain services may be provided, undertaken, or supported by earnfunvip's affiliates or third-party service providers. When using such services, you may be required to register a separate account and accept the applicable service agreement, privacy policy, platform rules, or third-party rules. Except as expressly provided in writing by earnfunvip, the availability, account status, system stability, and specific delivery results of the relevant third-party services shall be governed by the applicable service rules or third-party rules. earnfunvip shall not be liable for the independent actions of third-party service providers or any consequences arising therefrom.
The Service is provided on an “as is” and “as available” basis without any form of warranty or endorsement. We shall not be liable for any loss or damage arising from, in whole or in part, reliance on, use of, or interpretation of the Service, or from any information obtained by you (or any other person) through accessing and/or using the Service. To the fullest extent permitted by applicable law, we do not acknowledge any express or implied warranties, conditions, or other agreements, nor do we make any guarantees, promises, representations, or warranties with respect to: (a) the completeness, accuracy, reliability, or timeliness of any content obtained through or from the Service; (b) whether the Service or the servers hosting the Service contain defects, errors, viruses, bugs, or other harmful elements; (c) whether the Service will be uninterrupted, timely, secure, or error-free, or whether defects in the operation or functionality of the Service will be corrected in a timely manner; (d) any warranties relating to specific functions of the Service, or whether any information you obtain when using or accessing the Service is reliable, high-quality, or accurate; (e) whether the Service is secure or error-free; (f) whether the Service is reliable, high-quality, accurate, available, or capable of meeting your needs, producing specific results, or achieving particular results or outcomes. You acknowledge and agree to the foregoing service conditions and agree to assume all risks arising from your use of the Service.
In some circumstances, we may need to delete or change the functionality of the Service, or cease providing a service, or access to third-party applications and services. Except as expressly required by applicable law, we shall have no obligation to re-download or replace any content, information, or application previously downloaded or purchased by you. We may release preview or beta versions of the Service or its features. These versions may not function properly or may operate differently from the final version.
During use, the Service may be interrupted, delayed, or disrupted for unknown periods due to causes beyond our control. We shall not assume any liability for any claims arising from or related to such interruptions, delays, disruptions, or similar failures. To the fullest extent permitted by applicable law, we shall not assume any liability, loss, damage, or compensation arising from your or any other person's inability to access or use the Service due to: (a) suspension or termination of the Service as a result of our system or hardware/software maintenance or upgrades; (b) delays or failures in network communications of systems not owned or controlled by us; (c) suspension, cancellation, or termination of any contract or other arrangement between us and any third-party payment service provider; (d) errors or interruptions caused by hacking or similar security incidents; (e) any other causes beyond our reasonable control. Under no circumstances shall earnfunvip be liable for any inability to access the platform, or any delay, stoppage, or error in information or data, or any failure to provide or delay in providing the Service, arising from Internet connection failures, communication or other system failures, hacking, viruses, power failures, strikes, labor disputes, riots, uprisings, civil disturbances, fires, floods, storms, explosions, force majeure, war, governmental actions, orders of international or domestic courts, acts or omissions of third parties, or any other causes beyond earnfunvip's reasonable control.
Except as otherwise provided by law, you understand that in no event shall we be liable for any indirect or punitive damages, including loss of anticipated or indirect profits or data loss, even if we have been advised of the possibility or actual occurrence of such damages and their severity. In any event, our total liability to you, including but not limited to liability arising from contract, warranty, tort, or otherwise, shall not exceed the amount of your order.
Some countries/regions or jurisdictions do not allow the exclusion or limitation of certain warranties, promises, representations, or guarantees in contracts. If such laws apply to you, all or part of the foregoing exclusions or limitations may not apply to you. Nothing in this Agreement shall affect your statutory rights that you are entitled to, nor any rights that you cannot agree to change or waive by contract.
Given the open nature of the Internet, you acknowledge that any images, information, or materials uploaded to the Internet may be copied, reproduced, tampered with, or used for other unlawful purposes by other organizations or individuals. You must fully appreciate the existence of such risks. You expressly agree that all risks arising from your use of the Service and this Agreement shall be borne solely by you. Any liability or loss arising from infringement by a third party shall be pursued by you against such third party, and earnfunvip shall have no liability to you in connection therewith.
You may send or post contents that you have created using earnfunvip's services or otherwise. However, you shall bear full liability for such contents and the consequences of their dissemination or publication. Any content you post may be publicly accessible via the Internet and may be crawled and indexed by search engines. You are responsible for ensuring that you do not inadvertently post any private content. You may receive contents sent to you by other users of earnfunvip's services. Such contents are for your reference only and for personal use only. Unless expressly agreed in writing by the owner of such contents, you shall not use, copy, reproduce, distribute, transmit, disseminate, display, sell, license, or otherwise exploit them. While using any earnfunvip service, if you encounter any content with copyright notices or copyright protection, you shall not remove such copyright notices or disable such copyright protection. If you upload any copyright-protected content to the earnfunvip service, you shall be deemed to have obtained the consent of its owner to post such content in this manner. Furthermore, by posting information in the aforementioned manner, you expressly agree that if earnfunvip receives any infringement complaint or illegal conduct complaint arising from such content on the grounds that a third party's rights have been harmed, earnfunvip shall have the right to block or delete such content. Your use of any earnfunvip service or posting of any content through the earnfunvip service constitutes your express agreement to accept any decision made by an agent designated by earnfunvip in the event that the content you post causes any violation of law or infringement upon any third party.
You acknowledge and understand that the Service uses third-party vendors or hosting partners to provide the necessary hardware, software, network, storage, and related technologies to operate the service. You agree to comply with any business rules of such third parties and agree that any malfunction, accident, liability, or risk arising from such third-party hardware, software, network, storage, or related technologies shall be resolved by you with such third parties. earnfunvip makes no promises or warranties, and assumes no liability, with respect thereto.
earnfunvip will take reasonable and feasible measures using currently available technology to protect user accounts and data privacy. However, earnfunvip cannot guarantee that all of your private communications and other information will not be disclosed through means not set out in this service's privacy policy. You acknowledge and agree to assume the foregoing risks and agree that earnfunvip shall have no liability whatsoever in connection therewith.
Whether foreseeable or not, and whether arising from any form of act or omission, earnfunvip shall not be liable for any special, indirect, punitive, incidental, or any other damages arising from any cause whatsoever (including, but not limited to, loss of profits or interest, loss resulting from the disclosure of your privacy, disclosure or misappropriation of your personal information, etc., failure to perform any duty including good faith or reasonable care, negligence, or any other cause resulting in monetary or other losses).
3. Service Cancellation and Termination
To cancel your earnfunvip account, please submit a request to use through the contact information set out in this Agreement. When earnfunvip accepts a request for account cancellation, we will need to verify the user's earnfunvip account. The user must satisfy the following conditions before the account can be canceled: (1) all relationships concerning assets, data, and other matters with the actual users of the earnfunvip account have been properly handled; (2) all debts and claims between the user and earnfunvip have been fully settled, and there are no outstanding payment disputes; and (3) all agreements relating to services ordered or used by the user (including both free and paid services) have been terminated, and there are no ongoing services. Cancellation of a user's earnfunvip account means the deletion of the account and its content from the earnfunvip service. earnfunvip will cease providing products or services to the user and will delete or anonymize the personal information associated with the user's earnfunvip account in accordance with applicable legal requirements. If the user had previously authorized the binding of other related website accounts, cancellation of the earnfunvip account shall constitute the user's agreement to the unbinding of such other related website accounts by earnfunvip. After an account is canceled, the earnfunvip account can no longer be used, and such cancellation cannot be reversed. Users are advised to consider this matter carefully.
You fully understand and agree that, due to the unique nature of internet services, earnfunvip may suspend or terminate the provision of the Service to you in accordance with applicable laws and regulations, the terms agreed between the parties, or under other necessary circumstances. In such cases, earnfunvip will protect your legitimate rights and interests in accordance with the law and notify you by the most expeditious means, but shall not be liable for any losses caused to you thereby, nor shall it refund any applicable fees, except as otherwise provided by laws or regulations. The circumstances set out in this section shall not constitute a breach of contract by earnfunvip, and earnfunvip shall not bear any legal liability to you in connection therewith. If you stop using the earnfunvip related services prior to the expiration of the service period you have already paid for, you will not be charged any subsequent fees, but the fees already paid for the remaining service period will not be refunded.
We may also, in accordance with applicable laws, temporarily or permanently suspend, cancel, or restrict your access to all or part of the Service at any time, without liability to any individual or third party. We will use reasonable efforts to notify you before taking such action. However, under certain circumstances (including but not limited to the following), we may permanently or temporarily restrict, cancel, or terminate your access to all or part of the Service immediately without prior notice: (a) you violate, or we have reason to believe that you are about to violate this Agreement, including any covenants, policies, or guidelines contained herein; (b) you, or any person acting on your behalf, engage in fraudulent or illegal activities, or provide false or misleading information to us; (c) in response to a request from law enforcement or a government agency in accordance with valid legal process; (d) to perform emergency system or hardware maintenance or updates; (e) due to unforeseen technical, security, or business reasons.
The expiration or termination of this Agreement shall not affect those terms that expressly state that they shall remain operable or continue in effect after the termination or expiration hereof, nor shall it affect any accrued rights or obligations, or any rights or obligations that are intended to survive the termination or expiration hereof. Any term of this Agreement that expressly or by its nature should survive the termination of this Agreement, shall remain in full force and effect after the termination of this Agreement until the conditions set forth in such terms are satisfied or such terms expire by their nature.
You understand and agree that, in the event of a merger, division, acquisition, or asset transfer involving the company, we may transfer the relevant assets under earnfunvip to a third party. The company may also, upon giving you a unilateral notice, transfer partial or all of the Services and corresponding rights and obligations under this Agreement to a third party for operation or performance.
If you violate any term hereof, any business rules, or any applicable laws or regulations, or if any third-party infringement complaint arises, earnfunvip shall have the right to restrict or disable your account under the Service, suspend or terminate part or all functions of the services provided to you, and claim compensation from you for all losses incurred by earnfunvip as a result thereof. In addition to the foregoing, earnfunvip shall have the right, for any reason and at any time, in its sole discretion, to suspend or terminate your account, or to refuse to provide any or all current or future services. If the termination of a paid service provided to you is due to earnfunvip's reasons, earnfunvip's obligation shall be limited to refunding to you the portion of the fees corresponding to the unused service period.
After account cancellation or service termination, earnfunvip will cease providing the relevant services in accordance with applicable laws and regulations, this Agreement, and the Privacy Policy, and will delete or anonymize the relevant personal information, or retain such information for the period necessary for compliance, audit, dispute resolution, and security management.
To the extent permitted by law, if you violate this Agreement, platform rules, merchant rules, or applicable laws or regulations, or if earnfunvip reasonably believes that continuing to provide services to you may pose security, compliance, infringement, fraud, or other risks, earnfunvip shall have the right to restrict, suspend, or terminate all or part of the services provided to you.
4. Revisions to the Service and Rules
We may adjust the service content, form, functionality, fee standard, or service rules based on changes in business, technology, compliance, or third-party platform rules. For material changes that may substantially affect your rights and interests, we will notify you through page announcements, emails, in-platform notices, or other reasonable means.
earnfunvip reserves the right to adjust the types, forms, and fee standards of the services provided at any time based on actual circumstances. Any changes to the prices of all services, including but not limited to changes to monthly/yearly subscription plan fees, will be communicated to you via notice from earnfunvip. earnfunvip may provide such notice through push notifications, emails, official website announcements, or by changing the earnfunvip software or service itself. Your continued access to the Service and/or use of the Service shall constitute your acceptance of the changed services and prices. You agree that earnfunvip shall not be liable to you or any third party for the aforementioned acts.
10. Liabilities for Breach
If earnfunvip discovers or receives a report from any third party that you have committed any act in violation of this Agreement, earnfunvip shall have the right to make an independent determination in accordance with applicable laws and to take technical measures to delete, block, or disconnect the relevant information. In addition, earnfunvip shall have the right, depending on the nature of your conduct, to take measures against you including but not limited to suspending or terminating partial or all of the Service, suspending or terminating your access to related value-added services, and pursuing legal liability against you. earnfunvip shall not be required to refund any fees to you, and any losses incurred by you as a result shall be borne solely by you. If such conduct causes losses to earnfunvip, you shall also compensate earnfunvip for such losses. After the Service is suspended or terminated, earnfunvip shall have no obligation to return to you any data other than personal information.
If your violation of this Agreement causes any third party to suffer damages, you shall independently bear liability for such damages. If earnfunvip suffers losses as a result, you shall also compensate earnfunvip for such losses.
11. Miscellaneous Provisions
You agree not to copy, sell, resell, or otherwise provide the Service or any part thereof to any third party without earnfunvip's express written permission. earnfunvip has the right to assign, subcontract, or novate our rights and obligations hereunder, and you agree to promptly execute any and all documents reasonably required for such purpose.
You shall not, in any manner, expressly or impliedly suggest that you, or any software or service not owned and operated by earnfunvip, are affiliated with earnfunvip. Nothing in this Agreement shall be deemed to establish any partnership or agency relationship between you and us. Neither party shall have the authority to incur any liability, debt, or cost, or to enter into any contract or other arrangement, in the name of or on behalf of the other party.
All notices to you from earnfunvip under this Agreement may be sent by earnfunvip through any of the following methods: (1) by push notification, email, official website announcement, or similar means; (2) by sending an email to the email address you provided to earnfunvip at the time of registration or as subsequently updated (such email shall be deemed delivered upon sending).
earnfunvip does not participate in the promotion, transaction, or other activities between you and other users or any third parties. Nor does earnfunvip control or guarantee the quality, safety, or legality of the products you promote, the ability of sellers to sell products or services, the ability of buyers to pay for products, or the truthfulness or accuracy of any statements you make regarding products. earnfunvip further does not guarantee the intention of buyers to enter into transactions with you or the results of any such transactions. If a dispute arises between you and another user or any third party, you authorize us to provide the contact information of one disputing party to the other disputing party without reviewing whether such dispute is valid. However, we shall not be liable for any dispute between you and any third party.
You shall comply with all laws, including any applicable export laws, when using the Service. You shall not, directly or indirectly, export, re-export, or transfer the application to, or allow the Service to be used by, any prohibited country or person.
Any failure or delay by earnfunvip to exercise any right, power, or privilege under this Agreement shall not constitute a waiver thereof, and the exercise of any single or partial right, power, or privilege shall not preclude any other or further exercise thereof or the exercise of any other right, power, or privilege under this Agreement.
The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the Chinese Mainland (excluding Hong Kong, Macau, and Taiwan regions), excluding conflict of laws rules. Any dispute or controversy between you and earnfunvip shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the competent people's court in the Haidian District of Beijing for litigation.
This Agreement constitutes the entire agreement between you and earnfunvip and supersedes any prior agreements between you and earnfunvip (including but not limited to any prior versions of this Agreement). The headings of all provisions in this Agreement are for convenience of reference only and have no substantive meaning and shall not be used to interpret the meaning of any provision of this Agreement. If any term of this Agreement (or any part of any term) is held by a court of competent jurisdiction or any other competent authority to be invalid, unenforceable, or void, such term shall be deemed deleted from this Agreement, but all other terms shall remain in full force and effect.
This Agreement represents our entire understanding regarding the Service. You understand and agree that you have not relied on, nor have you been induced to enter into this Agreement by, any representation, warranty, or promise not contained in this Agreement.
